The largest UK aerospace and engineering firm, and the UK's leading export manufacturer, employing well over 100,000 people worldwide. The principal activities of BAe at the time were in four core business areas: Defense Systems: comprising military aircraft, guided weapons, ordnance, and electronic systems; Commercial Aircraft: which comprised the design and production of wings for the Airbus Industrie range of jet airliners, the manufacture of Jetstream Regional Aircraft, and the BAe 125 executive jet; Rover Group: which included the manufacture of the Rover and Land Rover range of vehicles; and Property Development and Construction: comprising Ballast Nedam and Arlington Securities. BAe specifically requested assistance from Due Diligence, Inc. with their Jetstream Regional Aircraft operation in the reduction of current inventory of previously operated turboprop aircraft, and the design of new programs for the ongoing marketing and remarketing of new and previously operated turboprop aircraft, including the following models: Jetstream 31, Jetstream Super 31, ATP, Metro II, IIA, & III, DHC-7, Shorts 360, EMB 110, and HS-748. Client’s major problem was having leased all their manufactured aircraft over 15 years with guaranteed buy back and the planes were coming off lease during economic down turn, at higher price than market. This resulted in a £2B negative net worth of the portfolio. There were also problems with product retrofit, an enormous liability, along with numerous brand, market, technology, financial and image considerations.
Results
Due Diligence, Inc.’s role in meeting the client’s objectives was to research and develop non-traditional markets for the aircraft; design new marketing and sales programs and processes; perform numerous business, marketing & technology analyses; portfolio analysis, development of simulations modeling & financial re-engineering of international aircraft manufacturing & marketing; development of initiatives in domestic and foreign counter-investment and offset programs in support of aircraft marketing; perform technology & acquisition due diligence; perform vendor & customer due diligence; develop air ambulance operations, analyze engine technologies, licensing issues and airfield facilities systems in the United States, the Middle East, the Former Soviet Union, Africa and Latin America.

Originally founded as an independent developer of innovative turnkey solutions in the public telecommunications market, UCN initially targeted the creation of state or city owned telecommunication utilities financed through revenue bonds. UCN learned that states and the cities did not have the political support, technical understanding, or the desire to own, operate and take the political risk. A leader in understanding the public utility marketplace, UCN made a strategic policy decision to develop new solutions for government bodies to produce economic viability. States and cities control the Rights-Of-Way assets, and UCN's system allowed them to exchange those assets for UCN's commitment to finance, own, and operate the public/private telecommunications utilities. Under this design, the states and cities were able to avoid the economic concerns and political issues, while obtaining the critically needed telecommunication systems.
Results
Due Diligence, Inc. researched the telecommunications needs of government entities, especially turnkey fiber optic networks in their geographical footprint. Due Diligence, Inc. analyzed the financial viability of this program, and the technology, network development, and operations plan, the partnerships with the government entities, the teaming with other private companies to provide the products and services necessary for the successful implementation of the network including construction, equipment, installation, management, marketing, maintenance, pricing, economic analysis and recourse and non-recourse financing. Due Diligence, Inc. assisted UCN to move into an aggressive expansion phase, and built a strong business plan and document package.

Client was a 5-year old firm, having pioneered the research, development, manufacturing and marketing of an RFID industrial technology line of components used in a wide variety of applications. Client had raised significant capital since inception and desired to initiate a substantial new capitalization effort. Client was experiencing slow growth and other operational and personnel problems. A Full Business Analysis was requested, and was performed over a five-month period
Results
Numerous suggestions and recommendations were made during the course of the work. As a result of the work, Client removed the existing marketing and sales staff, and hired entirely new sales people. The work also recommended, and Client made, other personnel changes, such as adding to the accounting department. Controls were tightened on personnel financial authority on expense accounts, and on limitations regarding outside activities, based on findings. The work also led Client to increase by 300% their existing accounts receivable and inventory financing requirements, the firm installed new computer systems, a new accounting and inventory control system, based on recommendations and system design assistance. The work also produced a completely new sales and marketing strategy for the Client. A completely revised corporate strategic plan was produced using the as the foundation. Other results included revisions of the sales brochures and sales demonstration room. The work also resulted in a more highly focused technology development strategy for the Client.

Project Summary
A supposed international firm had offered a contract to Purecycle to support project financing of at least $20 million, with substantial fees required from the Client. Information was requested on this Subject and associated businesses in an attempt to ascertain the credibility and nature of their business and capacity, especially as pertained to the Subject’s capacity to assist in Client's financing. Results included a report documenting the past and present status of the Subject, verification of their claims, results of reviews with State and Federal regulatory and investigative authorities, and extensive supporting information. Further investigation included uncovering an ongoing investigation of the Subject, including the state of residence having an emergency order on the Subject charging them with unlawfully transacting business in that state. The Subject was the target of extensive private litigation activities, had no authority or license in the state of residence to transact bonds, surety bonds or guarantee bonds, and was the target of investigations by several other state and Federal regulatory and enforcement agencies. Further due diligence discovered that the supposed addresses of the Subject in six countries were unknown or undeliverable according to postal authorities, that the Subject violated the emergency order, that the state of residence had issued an injunction against Subject, that other state authorities had filed actions for fines, punitive damages and attorney fees against the Subject, and that the Subject, with a supposed net worth of $900 million, had a banking account averaging in the low 4 figures and open less than 1 year.

A professional opinion was rendered that an attempt on Purecycle's behalf to seek financing or financial assistance in any form through the Subject a) would result in failure, b) that Purecycle would expose sensitive information to parties known or unknown, and c) that Purecycle could have become involved in one or more ongoing investigations into Subject.

Due Diligence on Export of Advanced Technology
Project Summary
Subject had offered to purchase several million dollars in advanced aircraft technology systems from Client, to be delivered outside the U.S. Due diligence on the Subject revealed little or no physical presence for the purported company. Personal Property Tax Listings showed the firm as "new on the roles," and an online audit of the source of this information showed a "telephone-only" listing. The address was found to be owned by a private individual having no apparent connection with the Subject. Further review of the claims made by the Subject to the Client revealed essentially no basis in fact. When the Client became concerned about Subject and Client liability, U.S. Customs was brought in to provide assistance directly to the Client in reviewing prospective customers/brokers of advanced technology systems. Subject contacts with Client were coordinated under a Federal investigation. After a short time, Subject did not bother Client further, and Client did not suffer any exposure to liability.
Results
A recommendation was made to Client that any attempt to export advanced technology through Subject would result in failure, and that Subject was probably unable to qualify as a customer under technology export restrictions of the U.S. Government, or was seeking to acquire advance technology products from Clients for illegal export purposes. Further recommendations included installing in-house procedures to more adequately screen potential export customers, and to adhere closely to legal restrictions regarding exposure of sensitive U.S. technology.
